Merger cleared unconditionally by India’s competition regulator

The Competition Commission of India (CCI), the country’s equivalent of France’s Autorité de la concurrence, has granted unconditional clearance to InterGlobe Enterprises Private Limited and AAPC India Hotel Management Private Limited, Accor’s Indian entity, to merge their hotel assets. The transaction brings together AAPC India Hotel Management, Caddie Hotels, Triguna Hospitality Ventures and several other group entities, all merging with and into InterGlobe Hotels.

The decision marks a major regulatory milestone in the roll-out of the strategic partnership between the two groups, which aims to build one of India’s fastest-growing hotel platforms.

THT Analysis – This kind of regulatory clearance, while technical, has a direct bearing on a hotel group’s development timeline in as competitive a market as India. By securing the legal integration of its assets with those of its local partner, Accor strengthens its ability to accelerate its roll-out in a country where demand for hotel accommodation continues to grow strongly, without having to wait for the resolution of antitrust uncertainties that could have delayed the project’s execution.

A deal steered by JSA Advocates & Solicitors

Law firm JSA Advocates & Solicitors advised on the entire merger control process before the CCI, including transaction structuring, merger control strategy, filing the notification and competition law assessment.

The team was led by Partner Vaibhav Choukse, alongside Partner Ela Bali, Principal Associate Aditi Khanna, Senior Associate Faiz Siddiqui, Associate Priyanshi Jain and Junior Associate Yaatri Shah.

Two players with complementary strengths

InterGlobe Enterprises is one of India’s leading conglomerates, active in aviation, hospitality, travel, logistics and technology. Accor, for its part, operates a portfolio of brands in India spanning every market segment, including Novotel, ibis, Pullman, Mercure, Sofitel, Hoxton, Mama Shelter, Fairmont and Raffles.

The merger is designed to integrate Accor’s hotel management and brand platform with InterGlobe’s property ownership and real estate development capabilities. The resulting entity is intended to operate as a fully integrated, end-to-end platform covering the development, ownership, management and growth of Accor-branded hotels across India.

A partnership in place since 2025

The tie-up between Accor and InterGlobe was announced in 2025 as an enhanced strategic partnership, with the ambition of opening 300 Accor-branded hotels in India by 2030. The CCI’s green light now marks the shift from that agreement in principle to a unified legal structure.
