Sunday PropTech agrees to acquire Fletcher Hotels

On 26 October 2026, Sunday PropTech announced that it had entered into an agreement to acquire the entire share capital of Fletcher Hotels, currently owned by private equity firm Egeria and the Dutch hotel group’s management.

The transaction price has not been disclosed. Completion remains subject to customary closing conditions.

The acquisition represents a major transaction for Sunday PropTech, a company specialising in hotel property investment, ownership and asset management, associated with Indian hospitality group Prism, formerly known as OYO.

Once completed, the transaction will give Sunday PropTech a significant position in one of the Benelux region’s leading hotel networks, with an established presence in Germany.

Fletcher Hotels: 170 properties and 5,800 employees

Founded in 1997, Fletcher Hotels has become the Netherlands’ largest hotel group by number of properties.

Its portfolio comprises 170 hotels, including 130 Fletcher-branded properties and 40 Fletcher Partner Hotels, located across the Netherlands, Belgium and Germany.

The group employs approximately 5,800 people.

Its positioning is primarily centred on three- and four-star hotels in leisure destinations, coastal locations, rural areas and urban centres.

This positioning provides access to substantial domestic and regional demand, making the group less exclusively dependent on major international source markets than hotel operators concentrated in large metropolitan areas.

Fletcher also operates a centralised management structure and owns a property portfolio in the Netherlands and Germany.

For its prospective shareholder, the strategic rationale therefore extends beyond acquiring a hotel brand: the transaction also provides access to an operating platform, a distribution network and real estate assets.

Egeria exits following five years of development

The transaction marks the exit of Dutch private equity firm Egeria, which invested in Fletcher in April 2021.

By that time, the hotel group had already embarked on an active consolidation strategy, following an earlier management buyout supported in particular by NIBC and Xead Group in 2016.

Over the past decade, Fletcher has completed approximately 60 bolt-on acquisitions, strengthening its domestic network before extending its presence into Germany and Belgium.

Under Egeria’s ownership, the group also invested in property renovations, technology systems and organisational development.

Mark Wetzels, representing Egeria, emphasises that this period helped consolidate Fletcher’s position in its home market while preparing the business for international development.

The sale to Sunday PropTech now opens a new chapter, this time backed by an international hospitality player.

Prism accelerates its European acquisitions

The Fletcher acquisition comes during a particularly active period for Prism, the new name of the Indian group previously known as OYO.

In September 2026, Sunday PropTech had already acquired a significant stake in Sircle Collection, the Amsterdam-based hospitality group that notably owns the Sir Hotels brand.

In July, Prism also strengthened its UK portfolio with the addition of 40 properties, including 16 operating under the Sunday Hotels brand.

These transactions reflect the group’s intention to diversify its portfolio into European hotel assets and market segments beyond its historical business.

Prism also owns brands including OYO Hotels, Palette, Motel 6 and Studio 6, as well as the Belvilla holiday home rental business.

Integrating Fletcher would give the group a well-established national brand, an extensive distribution network and operational expertise in the European leisure hospitality market.

A transaction ahead of Prism’s planned IPO

This acquisition strategy comes as Prism prepares for an initial public offering in India.

According to information reported by CoStar, the proposed listing received approval in June 2026 from India’s financial markets regulator, the Securities and Exchange Board of India (SEBI).

The proposed IPO would seek to raise INR 66.5 billion, approximately US$700 million, based on a potential group valuation of between US$7 billion and US$8 billion.

These figures relate to the proposed listing and should not be regarded as final transaction terms.

The Fletcher acquisition could strengthen Prism’s international profile and diversify its operations ahead of the planned IPO.

However, nothing in the information disclosed establishes that the acquisition would be financed using proceeds from the future share offering.

Rob Hermans aims to accelerate European development

Having led Fletcher Hotels for approximately 25 years, Rob Hermans intends to continue developing the group alongside its prospective new shareholder.

In an interview with Dutch publication Hospitality Management, he describes Sunday PropTech as a strategic partner capable of supporting Fletcher’s development beyond its domestic market.

He favours this industry-led partnership over the arrival of another private equity investor, which would have introduced a further medium-term exit horizon.

His ambition is to establish Fletcher as a leading European hotel operator by leveraging the technological, commercial and financial resources of its future shareholder.

Sunday PropTech, for its part, has indicated that it intends to invest in the properties, organisational structure and management systems, without specifying the amounts envisaged at this stage.

LTH Analysis | Prism is acquiring an operating platform, not merely a hotel portfolio

The acquisition of Fletcher represents a significant step in Prism’s transformation, as its international development is no longer based solely on the distribution and franchise models historically associated with OYO.

Through Fletcher, Sunday PropTech would gain access to an integrated organisation with an established brand, a network of 170 properties and a real estate portfolio.

The transaction also illustrates the strategic appeal of national hotel platforms capable of consolidating fragmented domestic markets before developing on a European scale.

Value creation will now depend on Sunday PropTech’s ability to combine Prism’s economies of scale with Fletcher’s local market expertise and established positioning.

Ahead of the planned IPO, the acquisition would also increase the significance of European operations within the Indian group.

One major unknown remains: without a disclosed purchase price, it is impossible to assess the acquisition multiple or the financial terms of the proposed takeover.
