H World Group Limited (Nasdaq: HTHT; HKEX: 1179) announced on 4 September 2026 its intention to issue offshore renminbi (CNY)-denominated bonds, outside the United States. The offering, reserved for non-US investors, is being made under Regulation S of the US Securities Act of 1933 and remains subject to market conditions.

An Offering Still to Be Finalised

The principal amount, interest rate, maturity dates and other terms of the bonds will be determined at the time of pricing. H World Group states that the net proceeds of the offering will be used for general corporate purposes, with no further detail provided at this stage.

The group notes that there is no guarantee the bond offering will proceed, as its completion will depend on market conditions. The bonds will not be registered under the US Securities Act and may not be offered or sold in the United States absent an applicable exemption.

One of the World’s Largest Hotel Groups

Founded in China, H World Group ranks among the major players in global hospitality. As of 30 June 2026, the group operated 13,539 hotels comprising 1,335,445 rooms across 21 countries. Its brand portfolio includes HanTing Hotel, JI Hotel, Orange Hotel, Crystal Orange Hotel, IntercityHotel, Steigenberger Hotels & Resorts, Zleep Hotels and Steigenberger Icons, alongside economy-segment brands such as Hi Inn and Elan Hotel.

The group also holds master franchise rights for the Mercure, Ibis and Ibis Styles brands, as well as co-development rights for Grand Mercure and Novotel across mainland China. This brand architecture was strengthened in 2019 with the acquisition of Deutsche Hospitality, whose European operations have since been brought together under the H World International banner.

An Overwhelmingly Asset-Light Model

The group’s operating structure reflects its asset-light development strategy. As of 30 June 2026, just 7% of the portfolio’s rooms were operated under the L&O (lease and ownership) model, compared with 93% under the M&F model, which encompasses delegated management (“manachise“) and franchising.

Under the manachise model, H World Group appoints on-site hotel general managers and collects royalties from franchisees. Under the pure franchise model, the group provides training, reservations and support services without appointing on-site management. This structure, combined with a standardised platform common to the entire portfolio, had already proven effective in the first quarter of 2025, when the managed-and-franchised segment recorded growth of more than 21%, driving the group’s overall results.

An Offering Governed by US and Hong Kong Regulatory Authorities

H World Group notes that this announcement does not constitute an offer to sell or a solicitation to buy securities, in the United States or elsewhere, and does not constitute an offer in any jurisdiction where such an offer would be unlawful. Any issuance of securities will be accompanied by one or more offering documents detailing the group’s operational and financial information.

The group states that the information contained in this announcement is accurate as of the date of publication and that it undertakes no obligation to update it, except as required by law. This announcement forms part of the group’s ongoing regulatory disclosures, as a company dual-listed on Nasdaq and the Hong Kong Stock Exchange.
